Version 1.0

Terms of service

These terms govern use of ECMO Universe, a software service provided by Sardhara Medical Private Limited ("we", "us") to hospitals and institutions in India ("the Customer"). By creating an organisation or using the service, the Customer and its authorised users agree to these terms.

1. Nature of the service

For documentation and record-keeping only. Not intended for diagnosis, treatment decisions or patient monitoring. All calculated values must be verified by a qualified clinician.

  • ECMO Universe is a documentation, data-logging and medical-record-keeping tool for ECMO units. It stores, displays, prints and shares information entered by the Customer's staff.
  • It is not a medical device and is not intended to diagnose, treat, monitor, prevent or cure any condition. It does not recommend doses, settings or therapy, and is not a substitute for clinical judgement.
  • Any calculated value shown (for example delivered dose, pump rate or pressure difference) is simple arithmetic on values entered by users and must be independently verified by a qualified clinician before it is relied on.
  • The service is not an alarm or real-time monitoring system. Notifications, including panic and siren alerts, may be delayed or not delivered and must not replace bedside monitoring or hospital escalation procedures.

2. Availability during the pilot

  • The service is currently offered only to hospitals and institutions located in India, with billing in Indian Rupees.
  • Pilot features may change. We aim for high availability but do not guarantee uninterrupted service. Customers must keep their own downtime procedures (for example paper charting).

3. Accounts and responsibilities

  • The Customer appoints administrators who invite staff, assign roles and remove access when staff leave. Each user must keep their credentials private and enable two-factor authentication where required.
  • The Customer is responsible for the accuracy of data entered, for obtaining any patient consent required by law, and for using the service in line with its own clinical policies.
  • Users must not upload unlawful content, attempt to access other organisations' data, or interfere with the security of the service.

4. Data ownership and privacy

  • Patient records belong to the Customer. The Customer is the Data Fiduciary and we act as Data Processor under the Digital Personal Data Protection Act, 2023.
  • We process data only to provide the service, as described in the privacy notice and the data processing agreement. Data is stored with our sub-processors: Neon (database), Vercel (hosting and file storage), Stripe (payments) and Resend (email).
  • On termination, the Customer may export its records. We delete Customer data after the retention period set out in the data processing agreement, unless the law requires us to keep it.

5. Fees, GST and cancellation

  • Plans are billed monthly in advance at the prices shown on the plans page. GST at 18% is added to every invoice. Enter your GSTIN at checkout to claim input tax credit.
  • Subscriptions renew automatically each month until cancelled. The Customer can cancel at any time from Billing → Manage billing. Cancellation takes effect at the end of the current billing period. Refunds are handled as set out in the refund and cancellation policy.
  • If payment fails, we may suspend access after reasonable notice. Records are kept and become available again once the account is paid up.

6. Intellectual property

The software, design and branding of ECMO Universe belong to Sardhara Medical Private Limited. The Customer receives a non-exclusive, non-transferable right to use the service for its own operations during the subscription.

7. Limitation of liability

  • The service is provided "as is". Clinical decisions remain the sole responsibility of the treating clinicians and the Customer.
  • To the extent permitted by law, we are not liable for indirect or consequential loss, and our total liability in any 12-month period is limited to the fees the Customer paid for that period.

8. Governing law and contact

These terms are governed by the laws of India, and the courts at Vadodara, Gujarat have exclusive jurisdiction. Questions and complaints can be sent using the details on the contact page.
